Creator Terms

1. Who this binds

These terms apply to athletes and teams (and anyone who administers their profile) in addition to the Terms of Service. You must accept them to create a creator profile. They are a versioned electronic agreement in the style of membership platforms, not a notarized contract. A signed institutional agreement may be requested later.

2. Platform fee

MGMA+ keeps 25% of the merchandise amount (tax exclusive). Costa Rica IVA, when it applies, is a separate line the processor retains at liquidation; it is not part of the 25/75 split. Processor fees are estimates and may be trued up when the settlement file arrives.

3. Payout calendar

Your share accrues when the charge is captured, not when the subscription period ends. We close the calendar month in America/Costa_Rica and, in v1, transfer on the 5th of the following month (USD 25 minimum or equivalent; otherwise it carries forward). A 3-, 6-, or 12-month plan is paid in full in the capture month — not dripped one-third at a time. A new creator’s first payout is held 30 days from their first captured charge. v1 disbursement is a manual transfer (SINPE or another method we name).

4. Accrual is not settlement

The Studio balance is what the ledger attributed, not money already sent to your bank. A card authorization is not a deposit in our account. We may delay or pause a payout if a dispute is open, identity does not match, or the chargeback rate is elevated.

5. Cancellations, refunds, and chargebacks

Cancel does not create a pro-rated refund: the fan keeps the paid period and you keep that accrual. A platform-granted refund, or a bank chargeback or reversal, offsets that transaction on the ledger and may be deducted from later payouts. If we already paid you that month, the next statement can go negative. A negative balance is covered by future earnings before any transfer; if there are none, we may demand repayment and disable the destination. We do not delay every payout by an extra month to “wait out” fraud: the chargeback window is often 45–120 days. While a chargeback is open, we hold that line.

6. Taxes

You are responsible for reporting and paying your own taxes on what you receive. IVA the fan pays in Costa Rica is not your income.

7. Content and license

You keep ownership of your content. You grant us a worldwide, non-exclusive license to host, transcode, cache, stream, and display it, and to use reasonable excerpts to operate and promote the service. You warrant that you have the rights (likeness, music, marks, minors) and that the content does not infringe third-party rights.

8. Indemnity and limits

You indemnify us against claims arising from your content, your statements, or your breach. To the extent the law allows, we are not liable for lost profits or indirect damages, and our aggregate liability is limited to the platform fees we retained on your charges in the 12 months before the claim. This does not waive non-waivable consumer or local-law rights.

9. Takedown

We may remove or disable content for a rights claim, an order, or a breach. The notice process is documented in the product knowledge base and starts by emailing support. Repeat infringement can lose publish rights and pause payouts.

10. Governing law

Governing law and venue will be confirmed by counsel (entities in Ecuador and Costa Rica). Until that review, disputes are raised first in writing to support.

11. Changes

If these terms change materially, we will ask for a new Studio acceptance before we treat you as payable. Publishing or taking a payout after you accept the new version is acceptance.
